Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you and Areta AI Inc., a Delaware corporation located at 8 The Green, Ste A, Dover, Kent County, Delaware 19901, United States (“Areta,” “we,” “us,” or “our”). They govern your use of the Areta wearable device and any other Areta hardware (“Device”), the Areta mobile application (“App”), the Mori personal memory layer, Areta’s MCP server and APIs, our websites, and related services (together, the “Services”).

Please read these Terms carefully. They include:

  • your responsibilities when recording other people (Section 5);
  • a mandatory binding arbitration provision and class action waiver (Section 18) — you may opt out within 30 days;
  • limits on our liability (Section 15).

By creating an account, pairing a Device, or using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

Summary of key points

  • You must be 18 or older.
  • The Device records ambient audio and takes low-resolution environmental photos. You are responsible for recording lawfully and telling people when they ask.
  • You own your recordings and Memories. We do not use them to train AI models for other users unless you opt in.
  • AI-generated transcripts, summaries, and insights can be wrong. Verify before relying on them for anything important.
  • Hardware: 1-year limited warranty, 30-day returns, 7-day dead-on-arrival replacement. Critical security updates install automatically.
  • The Services are free during the current phase. Before we introduce paid plans we will tell you at least 30 days in advance; nothing converts to paid automatically.
  • The Services are not a medical tool and are not HIPAA-compliant. Do not use them for health care.
  • If we ever shut down the Services, you get at least 90 days’ notice and export tools.

1. Eligibility

  • You must be at least 18 years old and able to form a binding contract. The Services capture ambient audio and build a personal memory profile; we do not offer them to minors.
  • The Services are for personal, non-commercial use unless you have a separate written agreement with us. If you accept these Terms on behalf of an organization, you represent that you are authorized to bind it.
  • You may not use the Services if you are barred from doing so under applicable law or if we previously terminated your account.
  • Not for medical use. The Services are not a medical device, do not provide medical advice, and are not HIPAA-compliant. We are not a “covered entity” or “business associate” under HIPAA and do not sign business associate agreements. Health-care providers, and anyone else subject to HIPAA, GLBA, FERPA, or similar regulations, may not use the Services to create, store, or transmit information regulated by those laws. If you choose to capture a personal conversation that touches on your own health, you do so at your own discretion; we do not treat that content as protected health information and it receives no special handling.

2. Your account

  • You need an Areta account to use the App and most Services. You agree to provide accurate information and keep it current.
  • You are responsible for all activity under your account and for keeping your credentials confidential. Notify us at support@areta.ai immediately if you suspect unauthorized access.
  • A Device is bound to one account at a time. Before selling, giving away, or returning a Device, factory-reset it: this wipes its local data and unlinks it from your account, and is required before it can be paired to another account. You may not use the Services with a Device you know to be lost or stolen.

3. What the Services do (and don’t do)

Areta is a wearable-plus-software system that:

  • captures ambient audio and periodic low-resolution environmental images through the Device, in one of two modes you choose: full-scene (everything the microphones hear is kept; indicator light on) or own-voice (only speech matching your voiceprint is kept; indicator light off);
  • transfers that data over Bluetooth to your phone, where anything that could identify a specific person (for example, a face or a license plate) is masked before upload;
  • uses your enrolled voiceprint to tell your speech from others’ (without it, own-voice mode and speaker labels are unavailable — see the Privacy Policy, Section 4);
  • uses artificial intelligence to turn captured data into transcripts, summaries, memory cards, tasks, insights, and a long-term personal profile (together, “Memories”), all labeled as AI-generated;
  • lets you search, review, correct, export, and act on your Memories, and, if you choose, expose them to third-party AI tools through our MCP server or APIs (“Integrations”);
  • offers optional social features for connecting with friends and sharing selected Memories.

The Services are an aid to memory, not a substitute for it, and are not a medical, safety, legal, or evidentiary tool. See Section 7.

4. Hardware purchases, warranty, and returns

4.1 Orders and pricing

Prices, availability, taxes, and shipping are shown at checkout in U.S. dollars. We may cancel or refuse orders for suspected fraud, pricing errors, resale activity, or unavailable inventory, and will refund any amount already charged. Promotions are valid only as stated and are non-transferable. Purchasing Devices for resale is not authorized.

4.2 Limited warranty

We warrant that the Device will be free from defects in materials and workmanship under normal use for one (1) year from delivery. Your sole remedy is, at our option, repair, replacement, or refund. This warranty does not cover damage from accidents, misuse, unauthorized modification or firmware, liquid exposure beyond the Device’s stated rating, normal wear (including bands, clips, and battery capacity decline), or loss of the Device. TO THE EXTENT PERMITTED BY LAW, ANY IMPLIED WARRANTY IS LIMITED TO THE DURATION OF THIS EXPRESS WARRANTY. Some states do not allow limits on implied warranties, so this may not apply to you. This warranty gives you specific legal rights, and you may also have other rights that vary by state.

4.3 Returns and dead-on-arrival

  • 30-day returns. Devices may be returned within 30 days of delivery for a refund if in good condition with original packaging and accessories. Refunds are processed within 5–10 business days of receipt and approval.
  • 7-day DOA. If a Device arrives damaged, incorrect, or non-functional, request a replacement or refund within 7 days of delivery.
  • Orders can be cancelled before shipment by emailing support@areta.ai. Purchases through resellers follow the reseller’s return policy.

4.4 Firmware and safety

The Device requires firmware we update over the air. Feature updates are optional unless required for continued compatibility with the App; security fixes for critical vulnerabilities install automatically and cannot be deferred. Do not reverse engineer, modify, or load unauthorized firmware. The Device contains a lithium-ion battery and small magnets: keep it away from children, pets, medical implants, and heat sources, and follow the safety information included with the Device.

5. Recording other people — your responsibilities

Because the Device can record continuously, you are solely responsible for using it lawfully and respectfully.

  1. Consent laws. Recording conversations is regulated by federal and state law. Many states (including California, Florida, Illinois, Maryland, Massachusetts, Montana, New Hampshire, Pennsylvania, and Washington) require the consent of all parties. Rules differ for phone calls, video, and private spaces. You are responsible for determining what consent is required where you are and for obtaining it. We do not provide legal advice.
  2. Notice. You agree to provide notice to, and obtain any consent required from, the people you record. Our Help Center explains practical ways to do this. Tell people when they ask; pause when they ask you to.
  3. Do not defeat the recording indicator. The Device’s light shows others when it is in full-scene mode. It adjusts its own brightness to the environment so it is not intrusive, but it always remains visible; there is no user setting to dim or disable it. You may not cover, obscure, paint over, or otherwise tamper with the light, or use the Device in any way intended to conceal that it is recording. If the Device detects that it is covered by clothing, it automatically drops to own-voice mode.
  4. No identification of bystanders. You may not use the Services, or data obtained from them, to identify by voice, face, or otherwise any person who has not consented to being recorded.
  5. Prohibited places and purposes. Do not record where recording is prohibited or where others have a reasonable expectation of privacy (for example, courtrooms, restrooms, locker rooms, medical or educational settings that prohibit it, workplaces that ban it), or to monitor, track, harass, or surveil any person.
  6. Minors and household members. The Services will capture the voices of people in your home, including any children. You represent that you are responsible for, and have obtained any consent required for, the recording of minors or other household members in your care.
  7. Responsibility. You are responsible for any claim, loss, or penalty arising from your recording of others, and you agree to indemnify us for such claims under Section 16.

6. Your content and Memories

  • You own your content. You retain all rights to the audio, images, and other data captured by your Device (“Captured Data”) and to the Memories derived from it (together, “User Content”).
  • License to us. To operate the Services, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, transcribe, analyze, display, and create derivative works from your User Content (such as summaries, memory cards, and your personal profile), solely to provide, maintain, secure, and improve the Services for you as described in the Privacy Policy. This license ends when you delete the content or your account, except for content you have shared with others, copies retained in backups for a limited period, and de-identified data that no longer identifies you.
  • No training on your Memories without permission. We do not use your Captured Data or Memories to train AI models that serve other users unless you separately opt in through a clearly labeled setting.
  • Memory and personalization. The Services derive and store a personal profile from your Memories — preferences, recurring context, people and projects, goals — and use it to personalize outputs and maintain context. You can view, correct, reset, or delete this profile in the App.
  • Your representations. You represent that you have the rights and consents needed to provide User Content to the Services and that your User Content does not violate any law or third-party right.
  • Other people’s content. Your Memories will include the voices and words of others. You may not publish, sell, or otherwise exploit another person’s voice, likeness, or private information without their permission.

7. AI outputs

  • Transcripts, summaries, tasks, insights, and answers (“Outputs”) are generated by automated systems and may be incomplete, inaccurate, mis-attribute who said what, describe things that were not said, or treat media playing nearby (TV, podcasts) as your real conversations. You are responsible for reviewing Outputs before relying on them.
  • Outputs are not medical, mental-health, legal, financial, or professional advice. Do not rely on them for safety-critical or important decisions without independent verification.
  • Because of the nature of AI, we make no representation that any intellectual property right will vest in Outputs, and Outputs for different users may be similar.
  • Some Outputs describe the mood of a conversation based on the words spoken. These are language-based guesses, not measurements of anyone’s emotional state, and can be turned off in Settings.
  • Outputs are for you. We do not represent that any AI-generated content — including a “memory twin” that answers on your behalf — is your actual statement.

8. Social features and sharing

  • You choose what to share. Anything you share may be viewed, copied, or further shared by the recipient; we cannot recall copies a recipient has already made.
  • You must have the right to share content, including any consent from people who appear in it, and shared content must comply with Section 10.
  • You can unshare or delete content, and revoke a friend’s access, at any time.

9. Pricing, subscriptions, and payments

9.1 Current phase: no charge for the Services

  • Apart from the purchase price of the Device, the Services are currently provided free of charge. Usage limits may apply and are shown in the App.
  • We intend to introduce paid plans when the product launches generally. We will notify you by email and in the App at least 30 days before any fee takes effect. No free account will be converted to a paid plan without your affirmative action, and you will not be charged unless you choose a plan and provide a payment method.
  • If you choose not to subscribe when paid plans arrive, your existing Memories remain accessible read-only for at least 90 days and can be exported at any time during that period.

9.2 When paid plans are offered

  • Plan features, prices, and quotas will be described in the App. We may change them prospectively with at least 30 days’ notice.
  • Plans bought through the Apple App Store are billed, renewed, and cancelled through Apple under Apple’s terms. Plans bought directly from us renew automatically at the end of each billing period until you cancel in your account settings at least 24 hours before renewal; you authorize us and our payment processor to charge your payment method on a recurring basis until you cancel.
  • Free trials, if offered, convert to paid plans only as clearly stated when you start the trial.
  • Except as required by law or stated here, subscription fees are non-refundable and there are no credits for partial periods. App Store purchases follow Apple’s refund policy. If we discontinue a paid feature or terminate these Terms for convenience, we will refund any prepaid but unused fees.
  • Delinquent accounts may be suspended until paid. Prices exclude taxes unless stated.

10. Acceptable use

You agree not to:

  1. use the Services in violation of any law, including recording, wiretap, privacy, biometric, harassment, or stalking laws;
  2. record or process another person’s data to surveil, stalk, intimidate, discriminate against, or harm them;
  3. upload or share content that is unlawful, infringing, defamatory, sexually explicit involving minors, or that promotes violence or hatred;
  4. access another user’s account, Device, or Memories, or defeat any access control, encryption, masking, or recording-indicator feature;
  5. reverse engineer, decompile, or extract source code, models, prompts, or training data from the Services, except as expressly permitted by law;
  6. use the Services or Outputs to benchmark, build a competing product, or train other AI models, without our written consent;
  7. scrape the Services or send bulk or abusive requests to our API or MCP server;
  8. resell, rent, or provide the Services to third parties as a service without our written agreement;
  9. interfere with the operation or security of the Services or introduce malicious code; or
  10. misrepresent yourself or your affiliation.

We may investigate and take action we consider appropriate, including removing content, suspending or terminating accounts, and reporting to law enforcement.

11. Third-party services and integrations

  • The Services rely on third parties including Apple (App Store, accessory frameworks, Find My), Google (Fast Pair), cloud hosting providers, and AI model providers. We are not responsible for third-party services; their availability is not guaranteed, and if a third party changes or discontinues an interface, some features may stop working.
  • Integrations you authorize (MCP, API, export, calendar or email connections) transfer your data to and from the third party at your direction. Once data leaves the Services, that third party’s terms and privacy practices govern it. You can revoke any integration in Settings.
  • If you connect Google services, our use of information received from Google APIs adheres to the Google API Services User Data Policy, including its Limited Use requirements.
  • The App and firmware include open-source components licensed under their own terms, listed in the App’s Third-Party Notices.

12. Intellectual property

  • The Services — including the Device design, firmware, App, models, prompts, interfaces, and the trademarks “Areta,” “Mori,” and “auria” — are owned by Areta or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App and firmware on Devices and phones you own or control, solely as permitted by these Terms.
  • Feedback. If you send us ideas or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.
  • Copyright complaints. Send notices under 17 U.S.C. §512 to our designated agent at legal@areta.ai or the mailing address in Section 20, including the information required by the statute. We terminate the accounts of repeat infringers.

13. Changes to the Services and discontinuation

We are an early-stage company and the Services will evolve; we may add, change, or remove features at any time. If we intend to discontinue the Services, or a material feature that affects your ability to access your Memories, we will give you at least 90 days’ notice where reasonably possible and keep export tools available during that period. We are committed to the principle that your data belongs to you and is portable; the export and integration tools in Sections 6 and 11 are part of that commitment.

14. Termination

  • By you. Stop using the Services and delete your account at any time in the App. Deletion removes your Memories as described in the Privacy Policy.
  • By us. We may suspend or terminate your access if you breach these Terms, if required by law, if your account is inactive for more than 24 months, or if we discontinue the Services under Section 13. Where practical, we will notify you and give you an opportunity to export your Memories.
  • Sections 5, 6 (licenses for shared content and backups), 7, 10, 12, and 15–19 survive termination.

15. Disclaimers and limitation of liability

EXCEPT FOR THE LIMITED HARDWARE WARRANTY IN SECTION 4.2, THE SERVICES, DEVICE, AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE, OR THAT THE DEVICE WILL CAPTURE EVERYTHING YOU EXPECT IT TO CAPTURE. WE ARE NOT RESPONSIBLE FOR LOSS OF DATA, INCLUDING USER CONTENT; YOU ARE RESPONSIBLE FOR EXPORTING DATA YOU WISH TO PRESERVE.

TO THE FULLEST EXTENT PERMITTED BY LAW, ARETA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These limits allocate risk between us and are an essential basis of the bargain. Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, including for gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence.

16. Indemnification

You agree to defend, indemnify, and hold harmless Areta and its affiliates, officers, directors, employees, and agents from any third-party claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, including your recording of any person; (b) your User Content; (c) your violation of these Terms or any law; or (d) your violation of any third party’s rights. We may assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate.

17. Governing law

These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law principles. Subject to Section 18, any dispute not subject to arbitration must be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

18. Dispute resolution — binding arbitration and class action waiver

Please read this section carefully. It affects your legal rights, including your right to go to court and to a jury trial.

  1. Informal resolution first. Before filing a claim, you agree to email legal@areta.ai with a description of the dispute and the relief sought, and give us 60 days to try to resolve it informally. We will do the same before filing a claim against you.
  2. Arbitration. Any claim arising out of or relating to these Terms, the Services, or the Device will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs this section. The arbitrator has exclusive authority to decide the scope and enforceability of this arbitration agreement, may award the same individual relief a court could, and must issue a reasoned written decision. Hearings may be by videoconference or in the county where you live; claims under $10,000 may be decided on documents alone at your election.
  3. Costs. For claims under $10,000, we will reimburse your filing fee and pay arbitrator fees beyond what you would pay to file in small-claims court, unless the arbitrator finds the claim frivolous.
  4. Class action waiver. YOU AND ARETA EACH AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of different users. If this waiver is found unenforceable for a particular claim, that claim must be brought in court under Section 17, and the remaining claims still go to arbitration.
  5. Exceptions. Either party may bring an individual claim in small-claims court, pursue an enforcement action through a government agency, or seek injunctive relief in court to protect intellectual property or prevent unauthorized access to the Services.
  6. Opt-out. You may opt out of this arbitration agreement by emailing legal@areta.ai with your name, account email, and a statement that you wish to opt out, within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.
  7. Changes to this section. If we change this Section 18 in the future, you may reject the change by notifying us within 30 days; the version in effect when you accepted these Terms will then continue to apply.
  8. Time limit. To the extent permitted by law, any claim must be brought within one (1) year after it arose.

19. General terms

  • Changes to these Terms. For material changes we will notify you by email or in the App at least 30 days before they take effect. Continued use after the effective date means acceptance. If you do not agree, stop using the Services and delete your account before the effective date.
  • Electronic communications. You consent to receive notices and agreements electronically; electronic communications satisfy any legal requirement that they be in writing.
  • Export control and sanctions. The Device and Services are subject to U.S. export laws. You represent that you are not located in a country subject to U.S. embargo and are not on any U.S. restricted-party list.
  • Apple-specific terms. For the iOS App: these Terms are between you and Areta, not Apple; Apple has no obligation to provide maintenance or support; if the App fails to conform to a warranty, you may notify Apple and Apple may refund the App’s purchase price, if any; Apple is not responsible for product-liability, regulatory, or intellectual-property claims relating to the App; and Apple and its subsidiaries are third-party beneficiaries with the right to enforce these Terms.
  • California residents. Under California Civil Code §1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 N. Market Blvd., Suite N-112, Sacramento, CA 95834, or (800) 952-5210.
  • Entire agreement; severability; waiver. These Terms and the Privacy Policy are the entire agreement regarding the Services. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets and will honor Section 13 if any assignment affects your access to your Memories.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
